Cloud Service Agreement

Version 1.0 — Effective July 24, 2026

This Cloud Service Agreement (the "Agreement") governs paid subscriptions to the Cranston cloud service purchased under a signed Order Form between Cranston Accounting Group, Inc. ("Provider") and the customer identified on that Order Form ("Customer"). It consists of the Order Form, the Key Terms below, and the Standard Terms incorporated by reference in Section 1. If there is an inconsistency, the Order Form controls over the Key Terms, and the Key Terms control over the Standard Terms.

This version will remain hosted at this page. Signed Order Forms reference the version in effect on their Effective Date.

1. Standard Terms

This Agreement incorporates by reference the Common Paper Cloud Service Agreement Standard Terms, Version 2.1, which are hosted permanently at that page. Capitalized terms not defined in this Agreement or the Order Form have the meanings given in the Standard Terms.

2. Cloud Service

Cranston is a cloud-based tax preparation platform that organizes source documents, generates workpapers and review findings, and prepares draft federal and state tax returns for review in Customer's tax software. The service includes onboarding, training, and integrations as described in the Order Form.

3. Technical Support

Provider will provide support by email during normal U.S. business hours and will use commercially reasonable efforts to respond within one business day.

4. Professional Review

The Cloud Service produces drafts and review materials. Customer remains solely responsible for professional judgment and for reviewing, approving, signing, and filing every tax return.

5. Customer Data

Customer may submit tax return information and Personal Data reasonably necessary to use the Cloud Service, including Social Security numbers, government identifiers, financial account information, and other sensitive taxpayer information. Provider may use this information only to provide, secure, support, and maintain the Cloud Service and related offerings.

6. Fees and Payment

Fees, included volume, the payment schedule, and the payment method are set out in the Order Form and are billed according to the payment process the Order Form specifies. Fees are exclusive of applicable taxes.

7. Limitation of Liability

General Cap: 1.0 times the fees paid or payable by Customer to Provider in the 12 months immediately before the claim.

8. Indemnification

Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the Agreement, violates, misappropriates, or otherwise infringes another person's intellectual property or proprietary rights.

Customer Covered Claims: Any action, proceeding, or claim that (1) Customer Content, when used according to the Agreement, violates, misappropriates, or otherwise infringes another person's intellectual property or proprietary rights; or (2) results from Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer) of the Standard Terms.

9. Governing Law and Courts

Governing Law: Delaware. Chosen Courts: State and federal courts located in Delaware.
