Cranston Terms of Service

These Terms of Service are a legally binding agreement between Cranston Accounting Group, Inc. ("Provider") and the company or other business that accesses or uses the Product ("Customer"). By creating an account, signing in, or using the Product, Customer accepts these Terms. If an individual accepts these Terms on behalf of a company or other organization, they represent that they have authority to bind that organization, and "Customer" means that organization. The Product is offered for business use and is not intended for personal, family, or household use.
Paid subscriptions are not sold under these Terms. Cranston subscriptions are purchased through a signed Order Form governed by the Cranston Cloud Service Agreement. If Customer has an active signed Order Form, that Order Form and the Cloud Service Agreement govern Customer's access, and these Terms of Service do not.
These Terms govern all other access: evaluation, trial, or pilot use of the Product, and use of Cranston's public website. A person who only browses the public website is a "Visitor," not a Customer, and is bound only by the Public Website section below and the Standard Terms provisions that section expressly applies.
Framework Terms
These Terms incorporate by reference the Common Paper Cloud Service Agreement Standard Terms, Version 2.1 ("Standard Terms"). Changes to the Standard Terms made in these Terms control over conflicts with the Standard Terms. Capitalized words have the meanings given in these Terms or the Standard Terms.
Cloud Service. Cranston is AI-enabled tax and accounting software for accounting firms that may organize source documents; support bookkeeping, reconciliation, client requests, and practice workflows; generate workpapers and review findings; and prepare draft federal and state tax returns for review in Customer's tax software.
Subscription Period. The period during which Provider makes the Cloud Service available to Customer under these Terms. Either party may end it at any time by notice to the other, including by Provider suspending or disabling access.
Cloud Service Fees. None. Access under these Terms is provided at no charge.
Technical Support. Provider may provide support by email but has no support obligation under these Terms.
SLA. None.
Professional Services. None. Any paid subscription, managed accounting, implementation, or other professional services require a signed Order Form or statement of work.
Key Terms
Customer. The company or other business that accepts, accesses, or uses the Product.
Provider. Cranston Accounting Group, Inc.
Effective Date. The date Customer first accepts these Terms.
Governing Law. Delaware.
Chosen Courts. State and federal courts located in Delaware.
Provider Covered Claims. Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the Agreement, violates, misappropriates, or otherwise infringes another person's intellectual property or proprietary rights.
Customer Covered Claims. Any action, proceeding, or claim that (1) Customer Content, when used according to the Agreement, violates, misappropriates, or otherwise infringes another person's intellectual property or proprietary rights; or (2) results from Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer) of the Standard Terms.
General Cap Amount. $100.

Changes to the Standard Terms
Sensitive Taxpayer Information
Customer is authorized to submit tax return information and Personal Data reasonably necessary to use the Cloud Service, including Social Security numbers, government identifiers, financial account information, and other sensitive taxpayer information. Provider may use this information only to provide, secure, support, and maintain the Cloud Service and related offerings.
Professional Review
The Cloud Service produces drafts and review materials. Customer remains solely responsible for professional judgment and for reviewing, approving, signing, and filing every tax return.
Dispute Resolution; Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Product will be resolved by confidential, binding arbitration on an individual basis before a single arbitrator, administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, and applying the Governing Law. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives the right to a trial by jury and the right to participate in a class, collective, consolidated, or representative action. As exceptions, either party may (1) bring an individual claim in small-claims court, or (2) seek injunctive or other equitable relief in the Chosen Courts for actual or threatened infringement or misuse of intellectual property or breach of Section 2.1 (Restrictions on Customer) of the Standard Terms. For disputes under these Terms, this section applies instead of litigation in the Chosen Courts.
Public Website
Cranston grants visitors a limited, revocable, non-exclusive, non-transferable right to access and use its public website and its text, graphics, images, demonstrations, and other materials solely for lawful informational and internal business purposes. Visitors may not scrape, harvest, frame, mirror, republish, commercially exploit, interfere with, or attempt unauthorized access to the website or its systems.
The public website may link to services operated by others. Cranston does not control and is not responsible for third-party services, content, terms, or privacy practices. Use of a third-party service is subject to that third party's terms.
The public website and its content are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, the warranty disclaimers, damages waiver, liability cap, governing law, and Chosen Courts in these Terms also apply to access to and use of the public website.

The Common Paper Cloud Service Agreement Version 2.1 is free to use under CC BY 4.0.
